Terms of service
Version 1.3, valid from 23 October 2026
1. Who these terms apply to
These terms apply between Asil Aydemir and Shahir Bashiri, trading in partnership as Calder Web, 19 Wheatley Gardens, Enfield, London N9 9UE ("we", "us") and the business that orders a website ("you"). We work only with businesses, not with consumers. By ordering you confirm that you act for your business.
2. The free draft
When you ask for it, we make a draft of your homepage at no cost and with no obligation. We may decline a request. The draft stays ours until you order: you may look at it and show it to others, but you may not use it, or copy its design, without a contract. We use the details and material you send us only to make the draft. If you do not order, we delete your material within one year.
3. How the contract is made
After the draft we send you a written offer by email that refers to these terms. The contract is made when you accept that offer in writing and pay the setup fee.
4. What we deliver
- A website of up to 6 pages, built for phones first
- Texts written for you after a short call
- Enquiry form with photos, sent straight to your email
- Your Google Business Profile linked to the site
- Legal notice and privacy notice for your site
- Hosting on Cloudflare's fast network, watched so it stays up
- Security updates, checks and backups
- Up to 2 small changes a month
- Domain and accounts in your name
Before launch you get two rounds of changes on the draft. We aim to put the site live within 7 days after you approve the draft and we have all your texts and photos. This is a target, not a fixed deadline.
5. Your content and claims
You give us correct information and only material you have the right to use, such as photos and logos. Any claim on your site about registrations, memberships, qualifications, guarantees or insurance (for example Gas Safe, NICEIC or TrustMark) must be true and current, and you tell us when it changes. You approve every text before it goes live. We may refuse content that we believe is unlawful or misleading.
6. Fees and payment
- Setup fee: £379, due when you accept the offer.
- Monthly care fee: £59, paid in advance on the same day each month, starting on the day the site goes live.
- Hosting is part of the monthly care fee; there is no separate hosting charge.
- After the minimum term you may switch to Hosting only at £29 a month (section 11), and back to full care, by email. The new fee applies from your next payment date.
- Total for the minimum term: £733.
- Payment by bank transfer to the account shown on our invoice. You can pay the monthly fee by standing order.
- We are not registered for VAT, so no VAT is added.
- The fees stay the same during the minimum term. After it we may change the monthly fee with 60 days' notice by email; you may then cancel before the change takes effect.
7. Late payment
If a payment fails, we tell you by email. If it is still unpaid 14 days after it was due, we may pause the website after a further written warning until it is paid. We may also claim statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
8. Minimum term and leaving early
The minimum term is 6 months from the day the site goes live. If you want to leave earlier, you pay the monthly care fees left of the 6 months in one sum (for example, leaving after 2 months means 4 x £59 = £236). When that payment arrives, the site becomes yours under section 9 and the monthly service ends.
After the minimum term the service runs month to month, on full care or on Hosting only. Either of us can end it with 30 days' notice by email.
9. Ownership
Until you have paid the setup fee and all 6 monthly care fees of the minimum term (£733 in total) (or the early exit sum in section 8), we give you the right to use the website. When those payments are complete, ownership of the website passes to you: its files, its design and the texts we wrote for it, with the right to use, change and move them. Your own content is always yours. Fonts, icons and other parts under open licences stay under those licences, which allow this use.
We may show your site as an example of our work unless you tell us not to.
10. Domain and accounts
Your domain, your Google Business Profile and any other account set up for your website are registered in your name. You give us the access we need and can remove it at any time. You pay the domain registration directly to the registrar.
11. Hosting and changes
While the monthly service runs, we keep the website updated, check it and back it up. We also host it on Cloudflare as part of the service. Up to 2 small changes a month are included. A small change alters an existing page: a text, a photo, a price, opening hours or holidays. Unused changes do not carry over. We make small changes within 3 working days. New pages or features get a written quote first. On Hosting only (£29 a month, available after the minimum term) we host, update, check and back up the website as above, but no changes are included; we quote any change in writing before we make it. We cannot promise that the site is available every minute, but we fix problems as quickly as we reasonably can.
12. Ending the service
When the service ends and the site is yours, we send you its files within 14 days and help you move it to another host. Hosting ends at the end of the notice period.
If you do not pay and the site is not yet yours, we may end the contract with 14 days' written notice. The monthly fees left of the minimum term then become due, and we may take the site offline until they are paid.
13. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.
Otherwise, we are not liable for loss of profit, income, business or goodwill, or for indirect loss. Our total liability under the contract is limited to the fees you paid us in the 12 months before the claim arose. We do not guarantee a position in Google or a number of enquiries.
14. Changes to these terms
New versions apply to new contracts. A running contract changes only if we both agree in writing, except a fee change under section 6.
15. Data processing
Each of us follows UK data protection law. When we host your website, we process the enquiries your visitors send through it on your behalf. For this, we are your processor and you are the controller (Article 28 UK GDPR):
- What: names, contact details, messages and photos that your visitors send through your site's forms.
- Why and how long: to store and pass on those enquiries to you, for as long as the monthly service runs.
- Instructions: We process the data only on your documented instructions, which these terms are, unless the law requires otherwise.
- Confidentiality and security: only we have access; we protect the data with encryption in transit, access controls and secure hosting.
- Sub-processors: you agree that we use Cloudflare, Inc. We tell you in advance about any new sub-processor, and you may object.
- Help: We help you answer requests from people exercising their rights, and tell you without undue delay about any personal data breach.
- End: when the service ends, we delete the data or hand it to you, as you choose, unless the law requires us to keep it.
- Checks: We give you the information you need to show that these duties are met.
- Transfers: data outside the UK is protected as described in our privacy notice.
16. Events outside our control
Neither of us is responsible for a delay or failure caused by events outside our reasonable control, such as a failure of a hosting provider's network.
17. General
Notices are given by email to the addresses we use for the contract. The offer and these terms are the whole agreement between us. If a clause is invalid, the rest stays in force. No one else has rights under this contract under the Contracts (Rights of Third Parties) Act 1999. Neither of us may transfer the contract without the other's written agreement.
18. Law and courts
The law of England and Wales applies to the contract and any dispute about it. The courts of England and Wales decide disputes.
